Terms of Service

These Terms of Service (the “Terms”) constitute a legally binding agreement between you (“you” or the “User”) and Mosaic Labs, LLC, a Maryland limited liability company (“Mosaic”, “we”, “us”, or “our”) governing your access to and use of the Mosaic research workspace, the Mosaic Citations add-in for Microsoft Word, and the Mosaic Citations add-on for Google Docs (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility and Accounts

The Services are intended for users aged 16 and older, and you must be capable of forming a binding contract in your jurisdiction to use them. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information and to keep it current.

2. License to Use the Services

Subject to your compliance with these Terms, Mosaic grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your internal research and academic purposes. We reserve all rights not expressly granted to you under these Terms.

3. Acceptable Use

You agree not to, and not to permit any third party to:

  • violate any applicable law or regulation or infringe the rights of any third party;
  • upload, store, or process content that you do not own or otherwise have the necessary rights to use, or that violates the license terms of any publisher, database, or source;
  • systematically scrape, harvest, or bulk-download content from publishers or databases through the Services;
  • access, tamper with, or use non-public areas of the Services, our systems, or the technical delivery systems of our providers without authorization;
  • reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent expressly permitted by applicable law;
  • introduce malware or otherwise interfere with the integrity or performance of the Services; or
  • resell, sublicense, or commercially exploit the Services without our prior written consent.

We may investigate violations and suspend or terminate access for conduct that violates these Terms.

4. Your Content

As between you and Mosaic, you retain all rights in the content and materials you create, upload, or import through the Services (“Your Content”). You grant Mosaic a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display Your Content, and to transmit it to the third-party service providers described in our Privacy Policy, solely to the extent necessary to operate, maintain, secure, and provide the Services to you. You represent and warrant that you own or have all rights necessary to upload, store, and process Your Content through the Services, including Mosaic’s transmission of it to third-party AI and search providers, and that doing so does not infringe any copyright, violate any contract or publisher license, or otherwise violate the rights of any third party or any applicable law.

5. Feedback

If you submit suggestions, ideas, bug reports, or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, and fully sublicensable license to use, reproduce, modify, and commercialize that feedback for any purpose, without any obligation, attribution, or compensation to you.

6. Third-Party Services and Materials

The Services interoperate with, and rely upon, third-party services and publicly available data sources. Your use of any connected third-party service (such as Google or Microsoft) is governed by that third party’s terms and policies. Mosaic does not control, and is not responsible for, third-party services or materials.

7. Citations and AI-Generated Output

You are interacting with an artificial-intelligence system. The Services use automated processes and AI to locate sources and to generate citations, summaries, and other output, and that output is produced by AI. Such output may be incomplete, inaccurate, or fabricated, including hallucinated or non-existent citations. The Services provide research assistance and are not a substitute for your own professional judgment. You are solely responsible for reviewing, verifying, and validating all citations, quotations, and AI-generated output before relying upon or publishing them. Mosaic makes no representation or warranty as to the accuracy, completeness, reliability, or fitness of any source or output.

8. Intellectual Property

The Services, including all software, technology, designs, text, graphics, and trademarks (excluding Your Content), are owned by Mosaic or its licensors and are protected by intellectual-property and other laws. Except for the limited license expressly granted in Section 2, these Terms do not transfer any right, title, or interest in the Services to you.

9. Copyright and DMCA Policy

We respect intellectual-property rights and respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a written notice to our Designated Agent that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the owner. If your content was removed, you may submit a counter-notification containing the corresponding statutory elements. We will, in appropriate circumstances, terminate the accounts of users who are repeat infringers. 10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY AS TO THE ACCURACY OR RELIABILITY OF ANY SOURCE, SEARCH RESULT, OR AI-GENERATED OUTPUT. MOSAIC DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOSAIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. MOSAIC’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO MOSAIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (USD $100). Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, gross negligence, or willful misconduct, or for death or personal injury.

12. Indemnification

You agree to indemnify, defend, and hold harmless Mosaic and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to Your Content, your use of the Services, or your violation of these Terms, of any applicable law, or of any third-party right (including any claim that Your Content infringes a copyright or violates a publisher license).

13. Export Control and Sanctions

You represent and warrant that you are not located in, ordinarily resident in, or a national of any country or region subject to comprehensive U.S. sanctions, and that you are not identified on the U.S. Treasury Department’s List of Specially Designated Nationals or any other U.S. restricted-party list. You agree not to use or export the Services in violation of U.S. export-control laws or economic sanctions. We may restrict or block access from any jurisdiction at our discretion.

14. Informal Resolution and Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@joinmosaic.ai and allowing us 30 days to respond and attempt a resolution. This informal-resolution requirement does not apply to claims that may be brought in small-claims court or to claims seeking injunctive relief for the infringement or misuse of intellectual-property rights.

15. Governing Law and Venue

These Terms, and any dispute or claim arising out of or relating to them or to your use of the Services (including non-contractual disputes or claims), are governed by the laws of the State of Maryland, without regard to its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods. Subject to Section 14, the exclusive venue for any dispute that proceeds in court is the state or federal courts located in Baltimore City, Maryland, and each party consents to the personal jurisdiction of those courts. Nothing in this Section deprives you of the protection of any mandatory consumer-protection law of your country, state, or place of residence that cannot be waived by agreement.

16. Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including failures or outages of the third-party providers on which the Services depend (such as our hosting, AI, embedding, parsing, and search providers), internet or utility failures, cyberattacks, acts of government, labor disputes, or acts of God.

17. Electronic Communications

You consent to receive communications, agreements, notices, and disclosures from us electronically, by email to the address associated with your account or through the Services, and you agree that electronic delivery satisfies any legal requirement that such communications be in writing. We will send notices to the email on file; you may send notices to us at hello@joinmosaic.ai.

18. Termination

You may stop using the Services and request deletion of your account at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or if we reasonably determine that suspension or termination is necessary to protect the Services or other users. Upon termination, the licenses granted to you under these Terms will cease.

19. Changes to the Services and Terms

We may modify the Services or these Terms from time to time. Material changes to these Terms will be posted on this page with a revised “Last updated” date. Your continued use of the Services after such changes become effective constitutes your acceptance of the revised Terms.

20. Survival

The following provisions survive any termination or expiration of these Terms: the license you grant for Your Content (to the extent needed to operate or back up the Services), intellectual-property ownership, the feedback license, the warranty disclaimer, the limitation of liability, indemnification, dispute resolution and governing law, and the miscellaneous provisions.

21. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mosaic regarding the Services and supersede all prior or contemporaneous agreements on that subject. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Nothing in these Terms limits or excludes any right or remedy that cannot be limited or excluded under applicable law, including any non-waivable rights you have under the Maryland Consumer Protection Act or the mandatory consumer-protection laws of your place of residence.
